Nook Payments, ACH & AutoPay Terms

• Third-Party Processing: Nook utilizes Stripe, Inc. (“Stripe”) to process payments, verify accounts, store payment credentials, and facilitate ACH and credit card transactions.
• Processor Agreements: Your use of payment services is subject to the Stripe Connected Account Agreement and Stripe Terms of Service (collectively, the “Stripe Terms”). By agreeing to these Payment Terms, you also agree to be bound by the Stripe Terms.
• No Banking Services: Nook is not a bank, money transmitter, or financial institution. Nook facilitates the transmission of payment instructions to Stripe.

By submitting payment information or enabling payment features, you authorize Nook and Stripe to:

• Charge or debit your designated payment method (credit card, debit card, or bank account) for amounts owed in connection with your account or agreements entered into via the Platform.
• Re-initiate any failed or returned payment attempt to the extent permitted by law and network rules.
• Adjust or credit your payment method to correct any administrative or operational errors.

If you elect to pay via ACH or direct bank transfer:

• Authorization: You authorize Stripe to originate ACH debit entries to your specified deposit account at your financial institution.
• NACHA Compliance: You agree that all ACH transactions initiated through the Platform will comply with all applicable laws and the Operating Rules of the National Automated Clearing House Association (“NACHA Rules”).
• Account Verification: You consent to account verification processes, which may include micro-deposits, instant financial account verification via third-party services (e.g., Plaid or Stripe Financial Connections), or bank login authentication.

If you enroll in AutoPay:

• Recurring Authorization: You authorize Nook and Stripe to automatically debit or charge your selected payment method on a recurring basis for all applicable recurring fees, rents, dues, or charges specified in your account or underlying agreements.
• Payment Schedule: Charges will occur on the scheduled due date or the next business day. If your billing date falls on a weekend or holiday, the transaction may process on the preceding or following business day.
• Amount Variations: If the payment amount changes, you will receive prior notice via email or platform notification before the scheduled transfer date, unless a different notification period is permitted by applicable law.
• Cancellation of AutoPay: You may cancel or modify your AutoPay authorization at any time by updating your account settings on the Platform at least three (3) business days prior to the next scheduled payment date. Cancellations received after this window may not take effect until the subsequent billing cycle.

• Insufficient Funds: You are responsible for ensuring that sufficient funds or credit limits are available to cover authorized payments.
• Return/NSF Fees: If a payment attempt is returned for insufficient funds, uncollected funds, or closed accounts, you may be charged a returned item fee or administrative fee, subject to applicable state law and network rules.
• Revocation of Access: Failure to complete required payments may result in temporary suspension or termination of your access to services provided via the Platform.

• Contacting Nook First: If you believe an error has occurred regarding a payment, you agree to notify Nook support prior to initiating a dispute or chargeback with your bank or credit card issuer.
• Unauthorized Transactions: If you suspect an unauthorized transaction, you must notify Nook and your financial institution immediately.

• Credential Storage: Payment card and bank account details are stored securely by Stripe in compliance with Payment Card Industry Data Security Standards (PCI-DSS). Nook does not directly store full payment card numbers or bank account credentials on its servers.
• Accuracy of Information: You represent and warrant that all payment information provided by you is accurate, complete, and authorized.

Nook reserves the right to modify these Payment Terms at any time. Continued use of payment features or maintaining an active AutoPay enrollment after updated terms are posted constitutes your acceptance of the revised terms.
